Representative Experience

Advised to Duqueco SPA and its shareholders I Scuared Capital and Orazul Energy Nehuen Generación SpA, in the reorganization process of Duqueco. Subsequently, the sale to Energía Llaima of all shares issued by Duqueco was carried out within the framework of such reorganization. The amount of the operation amounted to US$ 210,000,000.

Representative Experience

Counsel on the sale of GasValpo SpA to Marubeni and two infrastructure funds managed by Toesca Investment Funds Administrator. Larrain y Asociados acted on behalf of the selling shareholders: Australian company Whitehelm Capital and funds managed by it, which included the participation of pension funds of the Australian Government.

Representative Experience

Larrain y Asociados, advised Sociedad Punta del Cobre S.A. (Pucobre), in the reverse merger under which Pucobre absorbed its parent company Pacífico V Región S.A. Inasmuch as both parties are publicly traded corporations, the transaction must comply with the regulatory requirements applicable to these types of transactions, and comply with the rules of operations between related parties in Open Companies.
